This Guide Agreement (“Agreement”) is entered into by and between WiseCup (“Company”), and the undersigned individual (“Guide”).

 

Whereas:

1. The Company operates an online platform that connects individuals seeking career or educational advice (“Seekers”) with experienced professionals (“Guides”).

2. Guide wishes to provide advisory services to Seekers through the Company’s platform.

Now, Therefore, the parties agree as follows:

1. Engagement and Services:

• The Guide agrees to provide advisory services, including but not limited to career guidance, educational advice, and professional networking tips, to Seekers as facilitated through the Company’s platform.

• The Guide shall perform services professionally and in accordance with all applicable laws and regulations.

2. Independent Contractor Status:

• The Guide is an independent contractor and not an employee of the Company. The Guide is not entitled to any benefits provided to Company employees.

• The Guide is responsible for paying all taxes, insurance, and other statutory obligations arising from the payment received under this Agreement.

3. Term and Termination:

• This Agreement is effective as of the date signed and continues until terminated by either party with a notice period of 7 days.

4. Confidentiality:

• The Guide agrees not to disclose any confidential information pertaining to the Seekers or the Company’s business operations.

5. Liability and Indemnification:

• The Guide agrees to indemnify and hold harmless the Company from any claims, damages, liabilities, costs, and expenses arising as a result of the Guide’s services provided to the Seekers.

• The Company is not liable for any disputes, claims, losses, injuries, or damage of any kind that may arise out of or are related to the Guide’s interactions with Seekers.

6. Non-Solicitation:

• During the term of this Agreement and for one year thereafter, the Guide agrees not to solicit business or employment from any of the Seekers encountered through the Company platform, except through the platform.

7. Miscellaneous:

• This Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior agreements and understandings.

• This Agreement may be amended only by a written agreement duly executed by authorized representatives of the parties.

• If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
